1. Introduction

Zapaey is a platform that connects clients and freelancers for various freelance services. We provide an online marketplace where clients can post jobs and freelancers can offer their services. These Terms govern your use of our website and services and apply to all users, including clients, freelancers, and visitors.

2. Definitions

• “User” refers to any individual who accesses or uses the Zapaey platform, whether as a client, freelancer, or visitor.

• “Client” refers to any user who posts a project or service request on the platform and hires freelancers for their services.

• “Freelancer” refers to any user who offers freelance services on the platform and performs work for clients.

• “Project” refers to the job or task posted by a client for which freelancers can apply to work.

• “Platform” refers to the Zapaey website and any associated services provided by Zapaey.

3. User Accounts

To access certain features of the platform, you must create an account. By registering for an account, you agree to:

• Provide accurate, current, and complete information during the registration process.

• Maintain the confidentiality of your account credentials and be responsible for all activities that occur under your account.

• Notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account and use the platform.

4. Account Types

• Client Accounts: Clients can post job listings, review freelancer profiles, and hire freelancers to complete projects.

• Freelancer Accounts: Freelancers can create profiles, apply for job listings, and provide services to clients. Freelancers are responsible for delivering the services they offer according to the terms agreed upon with the client.

5. User Responsibilities

As a user of Zapaey, you agree to the following responsibilities:

• Clients:

  • Provide accurate descriptions of the projects and services requested.

  • Respond to freelancers’ inquiries in a timely manner.

  • Make payments promptly for completed work, as per the agreed-upon terms.

  • Refrain from posting illegal, harmful, or offensive content on the platform.

• Freelancers:

  • Provide high-quality services and complete projects in a timely manner.

  • Communicate professionally with clients.

  • Maintain the confidentiality of client information, unless otherwise agreed upon.

  • Refrain from submitting plagiarized or non-original work.

6. Payment Terms

Zapaey acts as an intermediary for payment processing between clients and freelancers. Payments made through the platform are subject to the following terms:

• Payment for Services: Clients agree to pay freelancers for the services rendered in accordance with the agreed-upon terms. Payment may be made on a fixed-price or hourly basis, depending on the arrangement between the client and freelancer.

• Payment Methods: Clients and freelancers are required to use the payment methods provided by Zapaey for transactions. We accept a variety of payment methods, including credit/debit cards, PayPal, and other payment systems.

• Transaction Fees: Zapaey may charge a transaction fee or commission on payments made through the platform. The fees will be clearly displayed at the time of payment.

• Refunds and Disputes: If there is a dispute between a client and freelancer regarding a payment, we will attempt to mediate the situation. However, it is ultimately the responsibility of the client and freelancer to resolve payment disputes directly. Refunds may be issued at the discretion of Zapaey in accordance with our policies.

7. Project and Service Agreements

Freelancers and clients are responsible for negotiating and agreeing on the terms of the projects and services provided. This includes:

• Scope of Work: The specific tasks, deliverables, deadlines, and quality standards for the project.

• Payment Terms: The amount, payment schedule, and method of payment.

• Confidentiality: Any confidential information exchanged during the project should be protected by both parties.

• Ownership of Work: Clients typically own the rights to the work upon full payment, unless otherwise agreed in writing.

Zapaey does not take responsibility for the content or execution of any project or service agreement between clients and freelancers.

8. User Content

You retain ownership of any content you upload to the platform, including project descriptions, portfolio items, and communication messages. By submitting content to Zapaey, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content for the purpose of operating the platform.

You agree not to upload or share any content that is:

• Infringing upon the intellectual property rights of others.

• Defamatory, offensive, or harmful to others.

• Violating any laws or regulations.

• Spamming or soliciting unrelated services.

Zapaey reserves the right to remove any content that violates these guidelines and suspend or terminate accounts that repeatedly engage in inappropriate behavior.

9. Confidentiality and Privacy

Zapaey values the privacy and confidentiality of its users. Any personal information provided by users will be handled according to our Privacy Policy. Both clients and freelancers are required to maintain the confidentiality of sensitive information shared during their engagement, unless otherwise agreed in writing.

Freelancers may be required to sign non-disclosure agreements (NDAs) for certain projects, depending on the client’s requirements.

10. Intellectual Property Rights

All intellectual property rights related to the platform, including logos, trademarks, and the software itself, are owned by Zapaey. As a user, you are granted a limited, non-exclusive, non-transferable license to access and use the platform for its intended purposes.

Freelancers who submit work for clients agree to transfer the intellectual property rights to the client upon payment, unless otherwise stated in the project agreement.

11. Disputes and Resolution

In the event of a dispute between a client and freelancer, Zapaey offers a dispute resolution process to mediate the issue. If a dispute cannot be resolved amicably, the matter may be referred to arbitration or legal proceedings, depending on the jurisdiction.

12. Termination and Suspension of Accounts

Zapaey reserves the right to suspend or terminate any user’s account for violating these Terms or engaging in fraudulent, abusive, or illegal activities. You may also terminate your account at any time by contacting Zapaey’s customer support.

Upon termination, your access to the platform will be revoked, and any pending payments or projects will be subject to the applicable refund or resolution process.

13. Limitation of Liability

Zapaey will not be held liable for any damages or losses incurred by users resulting from the use of the platform, including but not limited to:

• Loss of data or business profits.

• Disputes between clients and freelancers.

• Technical failures or service interruptions.

Our liability is limited to the amount you paid for the specific service provided by Zapaey, and we are not responsible for the actions of third-party users.

14. Indemnity

By using the platform, you agree to indemnify and hold harmless Zapaey, its affiliates, employees, and partners from any claims, damages, or expenses arising from your use of the platform, including any violation of these Terms or infringement of third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising out of or in connection with these Terms will be resolved in the courts of Nigeria, and you consent to the exclusive jurisdiction of those courts.

16. Changes to These Terms

Zapaey reserves the right to modify or update these Terms at any time. Any changes will be posted on this page, and the updated Terms will become effective immediately. It is your responsibility to review these Terms periodically to stay informed about any changes.
